By downloading the Billify Android application, accessing the web dashboard, or using any of Billify's services, you ("User") agree to be bound by these Terms and Conditions ("Terms") and all applicable laws and regulations.

If you do not agree with any part of these terms, you must discontinue use of Billify immediately. These Terms constitute a legally binding agreement between you and Nexlify Labs.

Billify is a Point-of-Sale (POS) and business management platform designed for retail businesses operating in India. The platform includes:

• Android mobile POS application for sales and service management
• Web-based admin dashboard for reporting, inventory, and outlet management
• GST-compliant invoice and E-Receipt generation
• Multi-outlet stock and batch tracking per outlet
• Staff and Admin role-based access control
• Payment mode tracking (Cash and QR payments)
• Customer management and service tracking

Billify reserves the right to add, modify, or discontinue any feature at any time with or without notice.

Billify operates a role-based access system. Users are assigned one of the following roles by the business owner:

• Admin: Full access to all outlets, reports, product management, staff management, and configuration settings
• Staff: Access limited to sales, service entry, and assigned outlet operations only

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify the business administrator immediately of any unauthorized access.

You agree to use Billify solely for legitimate retail business operations. The following activities are strictly prohibited:

• Using the platform for fraudulent billing, tax evasion, or misrepresentation of sales
• Attempting to reverse engineer, decompile, or extract source code from the application
• Uploading malicious content, viruses, or software intended to disrupt the service
• Accessing other tenants' data without authorization
• Automating access to the API without prior written consent
• Using Billify for any activity that violates Indian law or regulations

Billify may offer subscription plans or one-time licensing arrangements for business use. All amounts are in Indian Rupees (INR).

• Subscription fees are non-refundable unless stated otherwise in writing
• Billify reserves the right to change pricing with 30 days' advance notice
• Failure to pay may result in suspension or termination of access
• All payments processed through Billify's payment partners are subject to their respective terms

Transaction records within Billify (sales, service payments) are your business data and do not represent payments to Nexlify Labs unless explicitly stated.

Billify provides tools to assist with GST compliance for Indian businesses. However, the accuracy and correctness of tax filings remain the sole responsibility of the business owner.

• Billify supports GST slabs: 0%, 5%, 12%, 18%, and 28%
• CGST and SGST are split equally for intra-state transactions as per Indian GST law
• Users must ensure their GSTIN, HSN codes, and invoice details are correctly configured
• Billify-generated invoices include mandatory fields: GSTIN, Bill Number, HSN Code, and tax breakdown
• Billify is not responsible for penalties arising from incorrect GST configurations by the user

You retain full ownership of all business data entered into Billify, including sales records, customer information, product data, and transaction history.

• Billify stores your data in a multi-tenant architecture; each business's data is isolated
• You may request an export of your data at any time through the admin dashboard
• Upon account termination, data will be retained for 90 days before permanent deletion
• Billify does not sell, share, or rent your business data to third parties

All intellectual property rights in the Billify platform — including the Android application, web dashboard, source code, design, branding, and documentation — are owned exclusively by Nexlify Labs.

You are granted a limited, non-exclusive, non-transferable license to use Billify solely for your internal business purposes. This license does not grant you the right to:

• Copy, modify, or distribute any part of the platform
• Create derivative works based on Billify
• Use Billify's branding or name for commercial purposes
• Sub-license access to third parties without written consent

To the fullest extent permitted by law, Nexlify Labs shall not be liable for:

• Loss of revenue or profits resulting from system downtime or data loss
• Indirect, incidental, or consequential damages arising from use of Billify
• Errors in GST calculations resulting from incorrect user-provided data
• Unauthorized access to your account due to weak or shared passwords
• Third-party service failures (QR payment gateways, cloud hosting, etc.)

Billify is provided "as is" without warranties of any kind, either express or implied, including but not limited to merchantability or fitness for a particular purpose.

Either party may terminate this agreement at any time. Billify reserves the right to suspend or terminate accounts that:

• Violate these Terms and Conditions
• Engage in fraudulent, illegal, or harmful activities
• Fail to pay applicable subscription fees
• Pose security risks to the platform or other users

Upon termination, your right to use Billify ceases immediately. Data retention and deletion follows the policy described in Section 7.

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Krishnagiri, Tamil Nadu, India.

Billify reserves the right to update these Terms at any time. When changes are made:

• The updated Terms will be published on the app and web dashboard
• Users will be notified via in-app notification or email
• Continued use of Billify after changes constitutes acceptance of the new Terms

It is your responsibility to review these Terms periodically. The "Last Updated" date at the top of this document indicates when the most recent changes were made.
